Syensqo SA Business Structure and Competitive Position

Syensqo reports through Materials, Performance & Care, Other Solutions, and Corporate & Business Services. Materials contains Specialty Polymers and Composite Materials and generates the majority of operating earnings. Performance & Care comprises Novecare and Technology Solutions, combining surface chemistry and formulation technologies with mining and phosphorus specialties. Other Solutions currently consists of Aroma Performance following the January 2026 disposal of Oil & Gas. Corporate & Business Services captures central activities and unallocated costs. These businesses operate under different economic models: Materials depends heavily on long qualification cycles and customer co-development, whereas Performance & Care typically has shorter formulation cycles and broader exposure to agriculture, consumer care, mining and industrial markets.

Syensqo's strongest competitive positions are found in applications where material performance is critical to customer-system design. Specialty Polymers supply high-performance materials capable of operating under demanding thermal, chemical and electrical conditions, while Composite Materials requires deep aerospace qualification and process expertise. Novecare uses surface and formulation chemistry to influence functions such as cleaning, emulsification, deposition and agrochemical delivery, while Technology Solutions relies on application knowledge in mineral processing and phosphorus chemistry. These businesses combine proprietary chemistry with customer qualification, technical service and co-development. Syensqo's 2026 strategic framework increasingly prioritizes businesses where these capabilities create longer-duration customer relationships and stronger barriers to substitution.

FY2025 figures below use reported continuing operations, excluding Oil & Gas following its classification as a discontinued operation.

Materials

Materials consists of Specialty Polymers and Composite Materials. Specialty Polymers supplies high-performance thermoplastics, fluoropolymers and other advanced materials used across automotive, batteries, semiconductors, electronics, healthcare, food and pharmaceutical packaging, energy and industrial applications. Composite Materials develops thermoset and thermoplastic composites, structural adhesives and related technologies for civil aerospace, space, defense and transportation. The segment's differentiation rests on molecular design, material-processing expertise and lengthy customer qualification. Aerospace composite platforms can remain embedded in approved aircraft programs for extended periods, while specialty polymers frequently require validation within electronics, medical, automotive or battery systems. Materials generated €3.473 billion of FY2025 net sales and €986 million of underlying EBITDA.

Performance & Care

Performance & Care comprises Novecare and Technology Solutions. Novecare develops specialty surfactants, polymers and surface-chemistry solutions serving home and personal care, agriculture, coatings, industrial and chemical applications. Technology Solutions supplies mining reagents, technical services and phosphorus specialties used across mineral extraction and industrial processes. Compared with Materials, the segment generally has shorter qualification cycles and greater formulation exposure, although performance requirements remain highly application-specific. Differentiation comes from surface chemistry, formulation expertise, customer technical support and knowledge of process conditions. FY2025 segment net sales were €2.008 billion, including €1.346 billion from Novecare and €662 million from Technology Solutions, while underlying EBITDA totaled €358 million.

Other Solutions

Other Solutions currently contains Aroma Performance, following the classification and disposal of Oil & Gas. Aroma Performance supplies vanillin, ethylvanillin and other aroma-related technologies serving food, flavor, fragrance and selected consumer applications. The business combines chemical synthesis with an expanding natural-ingredients position, including rosemary-derived antioxidants and flavors. Its economic profile differs from Syensqo's Materials businesses because customer qualification is generally less structurally embedded than in aerospace composites or high-performance polymers. Other Solutions generated €281 million of continuing-operation sales and €24 million of underlying EBITDA in FY2025. Syensqo has stated its intention to divest Aroma Performance, making the segment transitional within the company's longer-term portfolio.

Syensqo SA Global Manufacturing and Geographic Footprint

Syensqo's industrial footprint spans North America, Europe, Asia-Pacific and selected emerging markets, with manufacturing positioned close to aerospace, automotive, electronics, consumer, agriculture and mining customers. The Americas are particularly important: Syensqo reported that the region represented 39% of second-quarter 2026 net sales and contained 29 industrial sites and four major research and innovation centers. The United States hosts major Specialty Polymers and Composite Materials operations, including manufacturing supporting aerospace, electronics and high-performance industrial applications.

Europe combines legacy chemistry platforms with advanced-material and specialty-production capabilities. Belgium and France remain important to the company's technology base, while the Tavaux site in France is strategically relevant for PVDF materials serving high-performance applications. Syensqo also operates aerospace and specialty-material manufacturing across several European locations, supported by regional R&I centers.

Asia-Pacific provides proximity to electronics, battery, automotive and consumer-product value chains. South Korea supports Specialty Polymers, Composite Materials and R&I activities, while the company's acquisition of JinYoung Bio added specialized cosmetic-ingredient capabilities. China and other Asian markets provide industrial production and technical support for polymers and specialty formulations. At Q2 2026, Asia-Pacific and the rest of the world represented 26% of sales and included 14 industrial sites and five major R&I centers. This regional network matters particularly where local qualification, supply reliability and technical collaboration influence customers' material-selection decisions.

Syensqo SA Mergers, Divestitures and Portfolio Transformation

Syensqo has accelerated portfolio restructuring since becoming an independent company. In January 2026, it completed the divestment of its Oil & Gas business to SNF Group for an enterprise value of €135 million, equivalent to approximately seven times trailing EBITDA. The transaction removed an activity with different market dynamics from Syensqo's principal advanced-material platforms and was explicitly positioned by management as part of its transition toward a specialty-focused portfolio.

The company has also expanded selectively in biotechnology and natural ingredients. In April 2024, Syensqo completed the acquisition of South Korean specialty cosmetic-ingredients supplier JinYoung Bio, adding biotech-based ceramide technologies to Novecare. In July 2024 it acquired a controlling stake in Azerys, a Moroccan rosemary-extraction specialist, expanding its access to natural antioxidants and flavor technologies. These bolt-on transactions strengthened consumer and bio-based chemistry capabilities rather than materially increasing group scale.

Portfolio transformation has become more pronounced in 2026. Aroma Performance remains designated for divestment, while Syensqo announced in May 2026 a strategic review of the entire Performance & Care segment. By July, management described its direction as becoming a pure-play materials company, with Materials positioned around Specialty Polymers and Composite Materials. The review is strategically significant because Performance & Care represented €2.008 billion of FY2025 sales; any separation would materially increase Syensqo's concentration in advanced polymers and aerospace composites. As of the latest July 2026 disclosure, the review remained in progress and should therefore not be presented as a completed disposal.
