Consumer Protection

Consumer Protection combines businesses positioned around safety, preservation, purification and specialized chemical synthesis. Its portfolio includes microbial-control products, preservatives, disinfectant-related technologies, ion-exchange resins and reverse-osmosis membrane-related solutions, flavors and fragrances intermediates, and contract-manufactured specialty chemicals through Saltigo. End markets include water treatment, personal and household products, food-related applications, agriculture, pharmaceuticals and industrial processing. The segment benefits from relatively high regulatory and qualification requirements, particularly in biocides and custom synthesis. These characteristics can provide greater earnings resilience than more cyclical industrial chemical activities. Consumer Protection generated €1.889 billion of sales and €290 million of EBITDA before exceptionals in 2025.

Specialty Additives

Specialty Additives supplies functional materials used to modify the performance of polymers, lubricants and industrial formulations. Its technologies include brominated and phosphorus-based flame retardants, plasticizers, stabilizers, specialty lubricants and other performance additives. Major end uses span construction, transportation, electrical and electronics, industrial equipment, automotive fluids and polymer processing. Product differentiation depends on regulatory compliance, formulation performance and compatibility with customers' polymer or lubricant systems. The segment also benefits from integration into selected bromine and phosphorus value chains. FY2025 sales declined to €2.056 billion and EBITDA before exceptionals fell to €201 million as weak demand, lower utilization and adverse currency effects pressured results.

Advanced Intermediates

Advanced Intermediates comprises Advanced Industrial Intermediates and Inorganic Pigments. The former produces high-quality chemical intermediates used across agrochemicals, coatings, automotive, pharmaceuticals and other industrial value chains, while Inorganic Pigments supplies iron-oxide and chromium-oxide pigments for construction materials, coatings, plastics and specialty applications. The segment is more exposed to chemical-cycle conditions than LANXESS's Consumer Protection activities because manufacturing economics depend strongly on plant utilization, energy and raw-material costs and global pricing. In 2025 sales decreased to €1.653 billion and EBITDA before exceptionals fell to €128 million as low demand and competitive pressure from Asia reduced utilization and margins.

LANXESS AG Global Manufacturing and Geographic Footprint

LANXESS operates 48 production sites across 32 countries, with Europe remaining its largest manufacturing base. Germany contains several strategically important chemical complexes, including sites in Leverkusen, Krefeld-Uerdingen, Dormagen and other established industrial clusters. These facilities support advanced intermediates, additives, custom synthesis and specialty-chemical production and benefit from integrated chemical infrastructure and logistics.

North America became increasingly important through LANXESS's acquisition-led expansion in Consumer Protection and Specialty Additives. The United States supports microbial-control chemistry, bromine-based specialties and other specialty platforms. The region gives LANXESS access to major industrial, construction, consumer and energy markets and is strategically relevant to several businesses acquired during the company's transformation toward specialty chemicals.

Asia-Pacific combines manufacturing for intermediates, pigments and additives with proximity to important automotive, construction, electronics and industrial markets. China is particularly significant for inorganic pigments and other specialty products. LANXESS's Ningbo pigment operation uses the company's proprietary manufacturing process for high-quality red iron-oxide pigments, illustrating how regional manufacturing can combine local market proximity with protected process know-how.

The geographic network also creates an important operating challenge: several LANXESS businesses remain exposed to European energy costs and weak global asset utilization. Management has therefore continued to optimize production assets and cost structures. The strategic objective is not simply to maintain geographic scale, but to align each manufacturing platform with demand density, competitive energy and feedstock conditions, and the technical requirements of customers in regional specialty markets.

LANXESS AG Mergers, Divestitures and Portfolio Transformation

LANXESS completed a major step in its transformation on April 1, 2025, when it sold its Urethane Systems business to Japan's UBE Corporation. The transaction carried an enterprise value of €460 million and generated gross cash proceeds of approximately €500 million. Urethane Systems contained five manufacturing sites and application laboratories across the United States, Europe and China and generated approximately €250 million of sales in the twelve months to June 2024. LANXESS used the proceeds primarily to reduce debt. Importantly, the sale represented the company's exit from its last fully consolidated polymer business.

The remaining major portfolio question concerns LANXESS's 40.94% stake in Envalior, the engineering-materials joint venture established with Advent International in 2023. LANXESS exercised its contractual right in September 2025 to offer the entire stake to Advent's holding company, with a potential transaction initially envisaged for April 2026. However, Advent HoldCo informed LANXESS in March 2026 that it would not acquire the stake in 2026 because the agreed financing condition was not met. Additional contractual tender and purchase windows remain available in 2027 and 2028, meaning LANXESS continues to hold the stake as of August 2026.

Alongside portfolio exits, management has been executing the FORWARD! restructuring program and further manufacturing-cost measures to respond to weak demand and low utilization. The combination of the Urethane Systems divestment, prior formation of Envalior and continuing cost reduction has fundamentally changed LANXESS's profile. The company has largely completed the industrial portfolio shift from diversified polymers toward specialty chemicals; the remaining strategic task is to improve returns from the retained businesses while eventually monetizing the Envalior financial investment under economically acceptable conditions.
