Solenis LLC Business Structure and Competitive Position

Solenis' operating model combines global business platforms with regional commercial leadership. Before NCH, the company reported five principal businesses: Consumer Solutions, Industrial Solutions, Institutional Solutions, Food & Beverage Solutions and Pool Solutions. The November 2025 NCH transaction added Light Industrial Solutions, covering middle-market water treatment, industrial maintenance, lubricants and parts-cleaning applications. Consumer and Industrial Solutions retain strong process-chemistry orientation, while Institutional and Food & Beverage incorporate significant Diversey cleaning and hygiene capabilities. Pool Solutions addresses residential and commercial recreational-water markets. The businesses therefore range from mill- and plant-integrated chemistry to equipment-supported sanitation programs and distributor-oriented water-care products.

Solenis competes through application expertise, formulation chemistry, process knowledge and an extensive technical-service model. Water-treatment programs must control corrosion, scale, deposition and microbiological activity under site-specific operating conditions, while papermaking chemicals influence drainage, strength, retention, barrier properties and production efficiency. Institutional and food-processing customers require cleaning efficacy, hygiene validation, dispensing reliability and regulatory compliance. Solenis supports these applications with approximately 4,000 patents and a global network of R&D and customer-application laboratories, including centers in Wilmington, Mönchengladbach, Shanghai, Mumbai and other locations.

Consumer Solutions

Consumer Solutions serves pulp, paper, board, packaging, tissue and specialty-paper manufacturers. Its chemistry spans retention and drainage aids, strength additives, sizing, barrier coatings, colorants, deposit control, defoamers and water-treatment programs. The business is particularly relevant to paper-packaging producers seeking lighter structures, improved fiber efficiency and alternatives to difficult-to-recycle barrier technologies. Solenis supplements chemistry with mill diagnostics, digital tools and pilot-testing capabilities at packaging centers in Wilmington, Mönchengladbach and Shanghai. The business accounted for approximately 30% of FY2025 revenue, making it one of Solenis' two largest reported platforms before NCH.

Institutional Solutions

Institutional Solutions incorporates a substantial portion of the Diversey platform and serves hospitality, foodservice, healthcare, education, retail, facility-management and commercial-laundry customers. Products include detergents, disinfectants, floor-care chemistry and dispensing and cleaning systems supported by digital and technical services. Commercial requirements differ from heavy industrial water treatment because products are frequently deployed across large numbers of distributed customer facilities rather than integrated into centralized process plants. Differentiation therefore depends on hygiene efficacy, equipment reliability, staff usability, training and service coverage. Institutional Solutions represented approximately 30% of FY2025 Solenis revenue.

Industrial Solutions

Industrial Solutions provides water-treatment and process technologies for chemical processing, refining, power, data centers, mining, manufacturing, municipal systems and other water- and energy-intensive applications. The portfolio addresses raw water, cooling water, boilers, reverse osmosis, wastewater, biofilm, corrosion and scale control. Solenis' commercial model places technical specialists close to customer facilities because treatment programs must be adapted to water chemistry, process conditions and equipment configuration. Digital monitoring and control systems add continuous operating data to the chemistry and service relationship. Industrial Solutions represented approximately 16% of FY2025 revenue before the subsequent addition of NCH's middle-market water businesses.

Food & Beverage Solutions

Food & Beverage Solutions combines cleaning, sanitation, engineering and water-treatment capabilities for dairy, beverage, meat and poultry, processed-food, agricultural and selected pharmaceutical operations. Through Diversey's heritage, the business serves more than 25,000 food, beverage and dairy production sites across an extensive international network. Manufacturing hygiene is closely linked to food safety, water consumption, production uptime and regulatory compliance, making chemical performance only one part of the value proposition. Solenis integrates detergents, disinfectants, cleaning systems, water treatment and technical expertise to manage multiple process requirements within the same facility. The business contributed approximately 13% of FY2025 revenue.

Pool Solutions

Pool Solutions originated principally from Solenis' combination with Sigura Water and supplies water-care technologies for residential and commercial pools and spas. The platform includes sanitization, oxidation and specialty treatment chemistry distributed through professional and consumer channels. Its operating model differs from Solenis' major industrial businesses because purchasing is more fragmented and seasonal, with substantial exposure to distributors, dealers, pool-service professionals and retail channels. Solenis has nevertheless applied its wider water-chemistry and sustainability expertise to this market, including technologies and customer programs focused on water conservation and operating efficiency. Pool Solutions represented approximately 11% of FY2025 revenue.

Light Industrial Solutions

Light Industrial Solutions became a distinct global business following the November 2025 acquisition of NCH Corporation and therefore is not included in Solenis' FY2025 revenue-share data. Led by Chris Wright, the platform focuses on middle-market industrial water treatment, lubricants, industrial maintenance and parts-cleaning applications. NCH brought an on-site service model, established regional brands and a customer base across smaller and mid-sized industrial facilities that complements Solenis' historical strength among larger water-intensive industrial customers. This creates cross-selling opportunities between NCH maintenance technologies and Solenis water-treatment chemistry while widening customer coverage below the major-account tier.

Solenis LLC Global Manufacturing and Geographic Footprint

Solenis' current footprint extends across more than 160 countries and six continents, supported by 78 manufacturing facilities following the NCH acquisition. North America contains the Wilmington headquarters and significant chemical, hygiene and technical operations, while Irving, Texas became an additional strategic center through NCH. Solenis maintains customer-application laboratories in Wilmington and Irving, alongside manufacturing and service locations across the United States, Canada and Mexico.

Europe includes important operations in Germany, Belgium, Spain, Switzerland, Italy, Sweden and the United Kingdom. Mönchengladbach, Germany hosts a Packaging Center of Excellence, while Mannheim, Münchwilen and Antwerp are part of the wider R&D network. Latin American capabilities include manufacturing and application support in Brazil and Colombia, with Paulínia serving as an important Brazilian technical location. Asia-Pacific includes production and technical capabilities in China, India, Indonesia and other markets, with Shanghai and Mumbai forming important innovation hubs.

The geographic network is central to Solenis' service model. Many water-treatment and process chemicals are consumed continuously at customer plants, requiring dependable regional production and rapid technical response. Hygiene customers similarly need reliable local supply, while paper and packaging applications benefit from regional laboratories capable of testing local fibers, substrates and production conditions.

Solenis LLC Mergers, Acquisitions and Portfolio Transformation

Solenis has used acquisitions as a primary mechanism for expanding from industrial water and paper chemistry into a broader water-and-hygiene platform. The largest recent transaction before 2025 was the $4.6 billion acquisition of Diversey Holdings in July 2023, which added institutional cleaning, infection prevention and food-and-beverage hygiene capabilities. Bain Capital retained a minority interest in Solenis as part of that transaction.

Portfolio expansion continued in November 2024 with the acquisition of BASF's mining flocculants business, adding solid-liquid separation and material-handling technologies for mineral processing. The defining 2025 transaction was the November acquisition of NCH Corporation. NCH added approximately 6,000 employees before integration and strengthened Solenis in middle-market industrial water, maintenance, lubrication and parts-cleaning services. Following closing, Bain Capital and the Levy family held minority stakes alongside controlling owner Platinum Equity.

Capital investment is now following the expanded customer footprint. In April 2026, Solenis broke ground on a 60,000-tonne-per-year facility in Beihai, Guangxi, China, involving approximately RMB250 million, or $35 million, of investment to support pulp and paper customers in Western China and Southeast Asia. The transaction pattern shows Solenis building scale across adjacent service-intensive markets while preserving a common technological foundation in water management, process chemistry and hygiene.
